1. Acceptance of Terms

Badger is a Cybersecurity and Device Optimization platform, designed to help people regain control over their digital lives.

These Terms of Use ("Terms") govern your access to and use of the Badger mobile application available both on iOS and Android. By creating an account or using Badger, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, kindly uninstall the App.

2. What Badger Does

Badger is one of our core Privacy Intelligence and Data Optimization solutions. Among other core features, It helps you wade off cyber-attacks and better understand what's happening on your device. monitor and understand your device's internet data consumption, including:

Badger is a monitoring and insights tool. It does not control your mobile carrier's billing, and figures shown in the App are estimates based on device-reported data and may differ slightly from your carrier's own measurements.

3. Eligibility and Account Registration

• You must be at least 13 years old (or the minimum age of digital consent in your jurisdiction) to use Badger.
• To use Badger, you must register an account using a valid email address and phone number, and complete verification of both.
• You agree to provide accurate, current, and complete information during registration and to keep it updated.
• You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
• You must notify us promptly if you suspect unauthorized access to your account.

4. Payments and fees

• Badger offers a free tier with core features.
• Additional premium features are available through a paid subscription, Prices for subscriptions will be clearly displayed in the App before purchase.
• All purchases are subject to the payment terms of the applicable app store (Apple App Store or Google Play Store) and any additional terms presented at checkout.
• Subscriptions may renew automatically unless cancelled before the renewal date, in accordance with the applicable app store's subscription management settings.
• Subscription fees are generally non-refundable, except where required by law or expressly stated at the time of purchase.
• We reserve the right to change pricing for subscriptions, with reasonable advance notice.

5. Permissions Required

To function, Badger requires certain device permissions (such as network/data usage access) on iOS and Android. By granting these permissions, you authorize Badger to read data usage and background activity information as described in our Privacy Policy. You may revoke these permissions at any time through your device settings, though this may limit or disable core App functionality.

6. Acceptable Use

You agree not to:

• Use Badger for any unlawful purpose or in violation of these Terms.
• Attempt to reverse-engineer, decompile, or tamper with the App or its underlying systems.
• Interfere with or disrupt the App's servers, networks, or security features.
• Use automated means (bots, scrapers) to access the App without our written permission.
• Impersonate another person or provide false registration information.
• Circumvent or attempt to circumvent the token/subscription system.

Security-first is a core value at Badger, and we reserve the right to suspend or terminate accounts that violate this section, consistent with protecting the integrity of our platform and other users.

7. Intellectual Property

Badger, including its name, logo, design, features, underlying software, and the intelligence solutions it embodies (privacy intelligence, telecommunications intelligence, threat analytics, and data optimization technologies), is owned by us or our licensors and protected by intellectual property laws. These Terms do not grant you any ownership rights in the App. You may not copy, modify, distribute, sell, or lease any part of the App without our prior written consent.

8. Data Accuracy Disclaimer

Data usage figures, background activity reports, and insights provided by Badger are estimates generated from information available through your device's operating system. We make reasonable efforts to ensure accuracy, but we do not guarantee that figures shown will exactly match your mobile carrier's billing or official usage records. Our task is to give you a reliable idea of what's being done by entities on your device. Badger's intelligence should be used to juxtapose, but not substitute for your carrier's official data.

9. Termination

• You may delete your account at any time from within the App or by contacting us.
• We may suspend or terminate your access to Badger, with or without notice, if we reasonably believe you have violated these Terms, engaged in fraudulent activity, or for any other lawful reason.
• Upon termination, your right to use the App ceases immediately. Sections that by their nature should survive termination (e.g., intellectual property, disclaimers, limitation of liability) will continue to apply.

10. Disclaimers

Badger is provided "as is" and "as available," without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the App will be uninterrupted, error-free, or completely secure.

11. Limitation of Liability

To the fullest extent permitted by law, Badger and its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, revenue, or profits, arising from your use of, or inability to use, the App, even if advised of the possibility of such damages. Our total liability for any claim arising from these Terms or your use of Badger shall not exceed the amount you paid us, if any, in the six (6) months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Badger and its officers, employees, and affiliates from any claims, damages, losses, or expenses including reasonable legal fees arising from your violation of these Terms or misuse of the App.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the applicable jurisdiction, without regard to conflict-of-law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Nigeria, unless otherwise required by applicable law.

14. Changes to These Terms

We may update these Terms as Badger's technologies and services evolve. We will notify you of material changes through the App or other reasonable means. Your continued use of Badger after changes take effect constitutes your acceptance of the revised Terms.
